1. Accepting these terms
These terms are a contract between you and Telesuber ("we", "us", "our"). They govern your use of Telesuber (the "Service"), which we operate at https://telesuber.com.
1.1 How you accept
You accept these terms when you create an account, accept an invitation to join a workspace, or use the Service in any other way. If you do not accept them, please do not use the Service. If you accept for a company, you confirm you have authority to bind it, and "you" then means both you and it.
1.2 Other documents that form part of this agreement
- the Acceptable Use Policy — what may and may not be sold, sent or stored through the Service;
- the Refund & Cancellation Policy — refunds of our own fees;
- the Privacy Policy and Cookie Policy — personal data we handle as controller;
- the Data Processing Addendum and subprocessors list — personal data we handle for you;
- the plan and price details at https://telesuber.com/pricing, and any written order we agree with you.
If they conflict, that is the order of priority, except that an agreement signed by both of us outranks all of them. Everything is indexed at https://telesuber.com/legal.
1.3 Your rights as a consumer
Nothing here limits or excludes a right the law gives you that cannot be limited or excluded. If you use the Service as a consumer, your statutory rights where you live apply in full, and where anything here conflicts with them, those rights win.
Plain summary, which does not replace the terms below: you run your own workspace and sell access to your own Telegram channels. Your subscribers pay into your own payment account, not ours. You are the seller towards them. We provide the software, and you pay us a plan fee for it.
2. Who may use the Service
2.1 Age and capacity
You must be at least 18 and able to enter into a binding contract. The Service is not for children, and we do not knowingly let anyone under 18 create an account.
2.2 Lawful use
You may use the Service only where that is lawful for you, and only for an activity that is lawful where you are and where your subscribers are. Section 31 covers sanctions and export controls. You may not use the Service if we have previously closed your account for breach, unless we agree in writing that you may return.
2.3 Subscribers are not our customers
People who buy access from your workspace have no account with us and do not agree to these terms. Their contract is with you, and they deal with you through Telegram and your checkout pages. Section 10 explains what that means.
3. Words we use
- Service — Telesuber: the dashboard, the bot software, the checkout pages, the public site and everything we provide with them.
- Workspace — the account area holding your bot, channels, plans and team. One person may hold more than one.
- Customer, you — the person or organisation holding a workspace, and each team member who uses it.
- Owner — the person who holds the workspace and can invite and remove team members.
- Team member — anyone you invite in, with a role of owner, admin, support or read-only.
- Subscriber — a person who buys access to one of your channels or groups.
- Visitor — anyone browsing our public site without signing in.
- Access Plan — a plan you create and sell to subscribers. The dashboard calls these simply "plans".
- Platform Plan — the plan you buy from us, as shown at https://telesuber.com/pricing. Platform Fees are what you pay for it.
- Payment Provider — Stripe, PayPal, Skrill, NOWPayments or OKX. Your Connected Account is your own account there, connected with your own API keys.
- Customer Content — everything you or your team put in: bot messages, broadcasts, plan names and descriptions, shop branding and logos, knowledge base entries, imported subscriber records and notes.
- Help chat — the support bubble in your dashboard, through which you write to us.
4. The Service, and changes to it
4.1 What the Service does
The Service is software for selling paid access to Telegram channels and groups. It lets you:
- connect a Telegram bot you create, and your own channels and groups;
- create Access Plans, show them through your bot and through checkout pages at https://telesuber.com/buy/, and take payment into your own Connected Account;
- let paying subscribers in, and remove them automatically when they stop paying;
- send broadcasts and automated messages through Telegram;
- switch on an optional AI support bot that answers subscribers from a knowledge base you write;
- import subscribers from other tools, such as InviteMember;
- read revenue and subscriber reports, and work with a team under different roles.
4.2 What the Service is not
We are a software provider and nothing more. We are not a bank, payment institution, money transmitter, payment processor or escrow agent. We are not the seller or merchant of record for anything you sell. We are not your accountant, tax adviser, lawyer or financial adviser. We are not Telegram, and we do not control it.
4.3 Your right to use it
We give you a limited, non-exclusive, non-transferable right to use the Service for your own business while this agreement lasts and you keep to it. Section 14 sets out what you must not do.
4.4 Changes to the Service
The Service will change: we may add, alter or remove features. If we remove or materially reduce a feature you rely on, we will tell you in advance where that is reasonable. Some changes must be made quickly — for security, for legal reasons, or because Telegram or a Payment Provider changed something we depend on.
5. Your account and keeping it secure
5.1 Creating an account
Signing up asks for your name and email address, which we confirm with a six-digit code sent to it; a workspace name; a few questions about what you sell, where you are coming from and the size of your audience; and a password of at least 10 characters. Give us accurate information and keep it current, especially your email address, because it is how we reach you.
5.2 Security features you can use
- Two-step verification with an authenticator app, which you can switch on. We then give you recovery codes — keep them safe, as they may be the only way back in if you lose the app.
- A signed-in session lasts 12 hours, after which you sign in again.
- After five wrong passwords, sign-in for that account is locked for 15 minutes.
5.3 Your responsibility
You are responsible for everything done through your account and workspace, including by team members. Keep your password, authenticator app, recovery codes and API keys to yourself, and do not share one account between several people — invite them as team members instead. Tell us promptly — by email to no-reply@telesuber.com, or through the help chat — if you believe someone has used your account without permission or that a credential has been exposed.
5.4 What we do on our side
We use measures we consider appropriate to the Service: passwords stored as Argon2id hashes rather than as passwords; stored provider credentials encrypted with AES-256-GCM; row-level isolation in the database, so one workspace cannot read another's rows; HTTPS; nightly encrypted backups kept for 14 days; and an append-only audit log of account and security events.
No system is perfectly secure. We do not claim the Service cannot be broken into, and we make no certification, audit or compliance claim beyond what is written in these documents.
6. Team members
6.1 Inviting people
An owner can invite team members by email. Each gets a role — owner, admin, support or read-only — which decides what they can see and do. How many you may have can depend on your Platform Plan.
6.2 The owner is responsible
You are responsible for the people you invite: for choosing the right role, for what they do, for what they send your subscribers, and for removing them when they should no longer have access. Their acts and omissions are treated as yours. Each also agrees to these terms by using the workspace, and you must make sure they know what they say — in particular the Acceptable Use Policy.
6.3 Disputes about who controls a workspace
We deal with the owner. If several people claim the same workspace, we may freeze changes until you resolve it between you or we receive a document or court order we can reasonably rely on. We do not arbitrate ownership disputes.
7. Your free trial
7.1 What you get
1 day free. Add a card to start; you’re charged only when the free days end, and you can cancel before. A new workspace can set up its bot, channels and Access Plans straight away; taking payments and letting anybody into a channel start with its free trial, which starts when you add a card and choose a Platform Plan. The card is taken by our payment provider, never by us, and nothing is charged during the free days. Paying through PayPal instead starts the plan at once, with no free days.
7.2 When the trial ends
When the free days end, the Platform Plan you chose is charged and renews under section 8.2. Cancel before they end (section 9) and nothing is charged at all; your workspace then takes no new payments and lets nobody new in until you subscribe again. Either way nothing switches itself off: everything you set up keeps running and your bot keeps serving the subscribers you have.
7.3 Fair use, and no promises
We may decline, shorten or withdraw a trial where we reasonably believe it is being abused — for example where accounts are created repeatedly to extend one trial indefinitely. A free trial comes with no promises about availability or fitness. To the extent the law allows, we accept no liability for loss arising from a trial or any other part of the Service provided free of charge, beyond the liability we cannot exclude under section 24.1.
8. Plans, fees, billing and taxes
8.1 Plans and prices
Our Platform Plans and their current prices are shown at https://telesuber.com/pricing. Plans differ in their limits — how many channels, Access Plans and team members you may have — and in which features are included, such as automations, broadcasts and imports. The number of subscribers you may have is never capped by a Platform Plan.
8.2 How you pay, and automatic renewal
Platform Fees are billed in advance for each billing period through our own payment provider; your payment details are entered on that provider's own pages, or into the provider's own card fields on our checkout page, and go to the provider, never to us. A paid plan renews automatically at the end of each period, at the price then in force, until cancelled under section 9. By subscribing you authorise us and our payment provider to take each period's fee as it falls due.
| Question | Answer |
|---|---|
| When are fees taken? | In advance, at the start of each billing period. The first is taken when your free days end, if you have any. |
| Does it renew by itself? | Yes, each period, until cancelled. |
| How do I cancel? | From the Billing page, by contacting us, or at the payment provider. See section 9. |
| When does cancelling take effect? | At the end of the period already paid for (or, during free days, at their end). |
| What if a payment fails? | Your workspace is marked past due. See section 8.4. |
8.3 Changing plan
You can move between Platform Plans. Moving up gives the higher limits; moving down can leave you above the new limits, which switches nothing off but stops you adding more until you are back within them. Where a change alters what you pay, the new fee applies from the change or from your next renewal, as we tell you at the time.
8.4 If a payment to us fails
Your workspace is marked past due, and while it is we may stop you adding more beyond your plan's limits. Your bot keeps running and your subscribers keep the access they have already paid you for: a billing problem between us is never passed on to them. We may ask our payment provider to retry, and we will contact you. If fees remain unpaid, section 22 applies.
8.5 Taxes
Our fees exclude taxes unless we say otherwise. You are responsible for any sales tax, VAT, GST or similar tax due on what you pay us, other than taxes on our own income. If you must withhold tax by law, you will pay us enough more that we receive what we would have without it. Any tax number you give us must be accurate. Tax on what you sell to your subscribers is entirely yours — see section 10.
8.6 Price changes
We may change our prices. If you are an existing paying customer we will give at least 30 days' notice by email before an increase, and it takes effect at your next renewal after that notice. If you do not want to pay it, cancel under section 9 first.
8.7 Disputed charges
If you think we have charged you wrongly, tell us within 60 days and we will look into it. Please contact us before raising a chargeback: a chargeback against us may suspend your workspace while it is resolved, which helps nobody.
9. Cancelling, and refunds of our fees
9.1 How to cancel
The workspace's owner can stop a Platform Plan from the Billing page of the dashboard. You can also contact us — by email to no-reply@telesuber.com or through the help chat in your dashboard — or cancel the subscription at the payment provider that bills you. We will confirm it.
9.2 When it takes effect
Cancellation takes effect at the end of the billing period you have already paid for — or, during your free days, at their end, with nothing charged. Until then your plan carries on as normal, and we do not cut a period short unless you ask.
9.3 Refunds
Refunds of what you have paid us are covered by the Refund & Cancellation Policy. If you are a consumer with a statutory right to withdraw from a contract, that right is unaffected and is explained there. Refunds to your subscribers are a different matter, and they are yours to give — see section 10.
9.4 After cancelling
Your workspace does not disappear. We keep your data so you can ask for a copy or ask us to delete it, as section 22 describes. Cancelling with us does not cancel anything your subscribers are paying you: handle that at your Payment Provider.
10. You and your subscribers
10.1 You are the seller
When someone buys access from your workspace, they buy it from you. You are the seller and the merchant of record. Your name, not ours, is the business they bought from, and their contract is with you alone.
10.2 The money never passes through us
Subscribers' payments go directly into your own Connected Account at Stripe, PayPal, Skrill, NOWPayments or OKX, using your own API keys. We never receive, hold or transmit those funds, and we take no commission or percentage of your sales. Card and bank details are typed on your Payment Provider's own hosted pages and never reach our servers; a payment through OKX is a transfer from the subscriber's own wallet or OKX account into yours, shown on a page of ours that takes no payment details at all.
10.3 What you are responsible for
Because you are the seller, you alone are responsible for:
- your prices, your currency, and what each Access Plan actually includes;
- all taxes on your sales, including registering, collecting and paying them;
- any receipt or invoice the law requires you to give a buyer;
- refunds, cancellations, chargebacks and disputes with subscribers, and their cost;
- your consumer-law duties — pre-contract information, cooling-off and withdrawal rights, clear renewal terms, fair contract terms;
- your own terms of sale, refund policy and privacy notice for subscribers;
- subscriber support, and their questions and complaints;
- having a lawful basis for marketing you send them, and honouring opt-outs.
10.4 What we do
We provide the software that shows your plans, starts a checkout at your Payment Provider, records what the provider tells us happened, opens and closes channel access accordingly, and sends the messages you set up. That is the whole of our role in your sales.
| Who does this | What it covers |
|---|---|
| You | Prices, taxes, invoices, refunds, chargebacks, disputes, consumer-law duties, your terms and privacy notice, subscriber support, and what you sell. |
| Your Payment Provider | Taking the money, holding it, paying it out, card data, provider fees, dispute procedures. |
| Telegram | Delivering messages, hosting your channel, its own rules and limits. |
| Us | The software: plans, checkout links, records, channel access, automations, reports. |
10.5 Renewals and endings
- Recurring purchases renew through the Payment Provider, not through us.
- Stopping a renewal takes effect at the end of the period already paid for; the subscriber keeps access until then.
- If a renewal payment fails, the provider may retry it, and access continues meanwhile.
- Purchases through Skrill, NOWPayments or OKX are one-off and never renew.
- When a subscription ends and is not renewed, the subscriber is removed from the channel automatically.
- Refunds and disputes at your provider are reflected in your records, and a full refund or a dispute ends that subscriber's access. You decide whether to refund; we follow what the provider tells us.
10.6 Messages, and disputes with subscribers
Broadcasts and automated messages go out from your bot, in your name. You are responsible for their content, for the right to message the people who receive them, and for keeping to Telegram's rules and marketing law where your subscribers are. We do not email your subscribers.
We are not a party to your contracts with subscribers and we do not mediate. If one contacts us we will normally tell them to contact you, and may pass the message on. Nothing here gives a subscriber any right against us.
Because the money goes straight to your own Payment Provider, we have no power to refund a subscriber, release a held balance, reverse a chargeback or move funds. Only you, at your provider, can do those things.
11. Payment providers and what you authorise
11.1 Connecting your own account
To sell anything you connect your own account at Stripe, PayPal, Skrill, NOWPayments or OKX, using your own API keys. That account is yours: open it in your own name, keep to that provider's terms, and make sure what you sell is permitted by them. Providers publish lists of businesses they will not serve, and those apply to you whatever these terms say. An OKX account is read with a key that can only read, and whether OKX allows business use of your account is between you and OKX.
11.2 What you authorise us to do
By connecting a Payment Provider you instruct and authorise us to use those credentials, on your behalf and for your workspace, to:
- create checkouts so your subscribers can pay you;
- create products and billing plans at the provider matching your Access Plans;
- capture PayPal orders a buyer has approved, so the payment completes;
- issue refunds you ask for in the dashboard;
- cancel renewals you ask to stop;
- verify webhooks the provider sends, so we can tell genuine events from forged ones;
- read the account information needed to connect and keep it connected correctly.
We use your credentials for nothing else, and never for our own account or another workspace.
11.3 How credentials are kept, and what disconnecting does
Credentials are stored encrypted with AES-256-GCM. When you disconnect a provider, the stored API key and signing secret are deleted. Anything that provider is still billing carries on billing there, and once the credentials are gone we can no longer ask it to stop — so stop the renewals you want stopped before you disconnect, or cancel them in the provider's own dashboard.
11.4 The provider's decisions are not ours
We do not control your Payment Provider. Holds, reserves, freezes, payout delays, account reviews, fees, refusals to serve a business and account closures are between you and that provider. We are not responsible for them and cannot overturn them.
11.5 Whose records count
Your reports are built from what your Payment Provider tells us. If our records and theirs disagree about money that moved, theirs govern what actually happened. Tell us if you spot a difference and we will help you work out why.
12. Telegram
12.1 The Service depends on Telegram
The Service works through the Telegram Bot API. Without it, bots cannot show plans, send messages or let anyone into a channel.
12.2 Your bot and your channel
You create your own bot with Telegram's @BotFather and connect it. The bot is yours, and its token is a credential to keep safe. For access control to work, your bot must be an administrator of each channel or group you sell access to, with rights to invite people and to ban or remove them.
12.3 Telegram's rules apply to you
You must keep to Telegram's Terms of Service and its rules for bots, including its rules on spam and content. Breaching them also breaches these terms.
12.4 What we cannot control
Telegram is outside our control. Outages, rate and flood limits, delivery delays, bans on a bot or channel, and changes to the Bot API or its policies can all stop parts of the Service working, and none are within our power to fix. We are not liable for them, and they do not entitle you to a refund of Platform Fees except as stated in the Refund & Cancellation Policy.
13. Your content, and the licence you give us
13.1 Your content stays yours
You own your Customer Content. Nothing here transfers ownership of it to us.
13.2 The licence you give us
To run the Service we need permission to handle your content. You grant us a worldwide, non-exclusive, royalty-free licence, for as long as this agreement lasts, to host, store, copy, back up, transmit, display and otherwise process your Customer Content, and to pass it to Telegram, your Payment Provider, an AI provider you have chosen and our subprocessors — only so far as is needed to provide, secure and support the Service, or as you instruct. It is limited to that purpose and ends when the content is deleted, subject to backups ageing out.
13.3 What we do not do with it
We do not sell your Customer Content, and we do not use it to train our own machine-learning models. Where you switch on an AI feature, or use one we offer in the help chat, the text involved is sent to the model provider chosen for that feature and handled under that provider's terms — see section 17.
13.4 Your promises, and content we may remove
You confirm you have the rights needed to put your content into the Service and to have us handle it as above, and that your content and what you sell keep to these terms, the Acceptable Use Policy and the law.
We may remove or disable content we reasonably believe breaches those, or that creates a legal risk for us or a risk to others. We will tell you when we do, unless the law prevents us or it would put someone at risk. We are not obliged to monitor your content, and we do not review what workspaces sell before they sell it.
13.5 Feedback, and your name
If you send us ideas or feedback, we may use them freely, without restriction, payment or obligation, and without treating them as confidential — so do not send anything you are not happy for us to use that way. We will not use your name, logo or workspace publicly as a customer reference without your permission.
14. Our intellectual property, and what you must not do
14.1 What we own
We own the Service and everything in it that is not your content: the software, its interface, templates, designs, text, illustrations, documentation, our name and our logo. You get the limited right in section 4.3 and nothing more; all other rights stay with us and our licensors.
14.2 Things you must not do
You must not, and must not let anyone else:
- copy, modify, translate or create derivative works from the Service, except where the law gives you that right despite this clause;
- reverse engineer, decompile or disassemble it, or try to derive its source code, except where the law expressly allows and you have first asked us for what you need;
- rent, lease, sell, sublicense, white-label or resell the Service, or run it as a service for third parties;
- scrape, crawl or extract data in bulk, or use automated access other than the interfaces we provide;
- get around plan limits, rate limits, authentication or other technical restrictions, or share or resell an account to avoid paying for one;
- probe, scan or test the security of the Service, run penetration or load tests, or try to reach data that is not yours, without our prior written permission;
- interfere with the Service or anyone else's use of it, including by overloading it or sending malicious input;
- use the Service, or information gained from it, to build or help build a competing product;
- remove or obscure a notice of ownership, or use our name or logo to suggest we endorse you.
14.3 If you find a security problem
Please tell us rather than exploit it. Report it by email to no-reply@telesuber.com, or through the help chat, give us reasonable time to fix it, do not access or alter anyone else's data, and do not publish before it is fixed. We will not pursue good-faith research that follows those rules.
14.4 Open-source components
The Service includes third-party open-source components licensed to us under their own terms. Nothing here limits your rights under those licences where they apply to you.
15. Acceptable use
The Acceptable Use Policy is part of these terms. It applies to you, your team members, your bots, your channels, your messages, your checkout pages, your knowledge base and everything you sell.
Read it before you set up your workspace. Breaking it breaches this agreement and is the most common reason a workspace is suspended. Where Telegram's rules or your Payment Provider's are stricter than ours, theirs apply as well.
16. Data protection
16.1 Two different roles
- As controller, for account holders, team members and site visitors — who you are, how you use the dashboard, how we bill and support you. See the Privacy Policy and Cookie Policy.
- As processor, for your subscribers' personal data that you put into the Service. You are its controller and we act on your instructions. See the Data Processing Addendum and the subprocessors page.
16.2 Your duties as controller
For your subscribers' data you must have a lawful basis for collecting and using it; give subscribers a privacy notice saying who you are and how their data is used, including that you use a service provider to run channel access; answer their data protection requests; and only put in data you are allowed to put there.
16.3 What our staff can see
Our staff can see account-level summaries of a workspace — counts, dates, amounts, team and security status — so we can support and bill you, and can read help chat messages you send us. Every staff view of a workspace profile is recorded in an audit log. There is no feature that lets our staff sign in as you, and we do not read your subscribers' conversations for any purpose other than supporting you or complying with the law.
16.4 A copy of your data, or deletion
There is no self-service export or account deletion in the dashboard yet. Ask us — by email to no-reply@telesuber.com or through the help chat — and we will handle it within a reasonable time. Two things to know: deleted data can remain in our encrypted backups until those age out after 14 days, and we keep records the law requires, such as billing records and the append-only audit log.
16.5 Security and incidents
The measures in section 5.4 apply to your data too. If a personal data breach affecting your data occurs, we will tell you without undue delay and give you the information you need, as set out in the Data Processing Addendum.
17. AI features
17.1 The support bot uses your own key
You may switch on an AI support bot that answers your subscribers. It runs on your own API key with Groq or Anthropic. You choose the provider, you hold that account, you are bound by its terms, and any charges it makes are yours.
17.2 What is sent, and what comes back
When the bot answers, the subscriber's message and the relevant parts of the knowledge base you wrote are sent to the provider you chose. The bot is instructed to answer only from the knowledge you gave it, and to say it cannot answer rather than invent something. Do not put anything in a knowledge base that you would not want sent to that provider.
17.3 AI can still be wrong
AI output is not reliable and must not be treated as advice. A model can misread a question or state something untrue with confidence. You are responsible for what your bot says to your subscribers, exactly as for a message you wrote yourself. Review your knowledge base, check its answers, and do not use it where a wrong answer would be harmful — on medical, legal, financial or safety questions, for example.
17.4 Our help chat, and changes
We may use an AI assistant to help answer messages in the help chat; it can be wrong too, and you can always ask for a person. AI features depend on third-party models that change, are withdrawn and are priced by their providers, so we may add, change or remove them, or change which providers can be chosen.
18. Importing subscribers
18.1 You must have the right to import
You may import subscriber records from other tools, such as InviteMember. You confirm you have the right to hold that data, to import it here, and to message the people in it. Do not upload a list you bought, scraped, or were given by someone with no right to pass it on.
18.2 We do not check it
We do not verify imported data and cannot tell whether a row is a real paying subscriber. What you import can give people access to your channels, so check an import before you rely on it and before you broadcast to the people in it.
18.3 Imported people keep their rights
Give them a privacy notice, honour opt-outs, and delete records when you no longer have a reason to keep them.
19. Third-party services
The Service works with, and depends on, services we do not control: Telegram; Stripe, PayPal, Skrill, NOWPayments and OKX; AI providers such as Groq and Anthropic where you switch those features on; and the infrastructure and email providers on our subprocessors page. Your use of any of them is governed by their own terms, which you should read. If one changes its rules, pricing, interface or availability, parts of the Service may change or stop working. We will adapt where we reasonably can, but we are not responsible for their acts, omissions, decisions or outages, and we do not endorse them by working with them.
Telesuber is an independent product. It is not affiliated with, endorsed by, sponsored by or otherwise connected to Telegram, Stripe, PayPal, Skrill, NOWPayments or OKX. Those names, and other product names used here, are trademarks of their respective owners, used only to describe what the Service works with.
Telesuber is not affiliated with, endorsed or sponsored by Telegram, Stripe, PayPal, Skrill, NOWPayments or OKX, and is not an official Telegram product.
20. Confidentiality
Each of us may learn non-public information about the other. Your Customer Content and business figures are yours; our non-public technical, security and commercial information is ours. Each of us will use the other's only to perform this agreement, protect it with at least reasonable care, and share it only with people who need it and are bound to keep it confidential.
This does not apply to information that is or becomes public without a breach, was already known without a duty of confidence, is received from someone free to disclose it, or is independently developed. Either of us may disclose where the law, a court or a regulator requires, giving the other reasonable notice first where allowed. These obligations last three years after this agreement ends, and longer where the law protects the information as a trade secret or personal data.
21. Availability, support and beta features
21.1 No service level or uptime promise
We do not promise any level of availability or uptime. We work to keep the Service running and to fix problems quickly, but we give no service level agreement, no uptime percentage and no guaranteed response or resolution time. Parts of the Service depend on Telegram and on Payment Providers, which we do not control. The Service may also be interrupted for maintenance and upgrades: we try to do disruptive work at quieter times and to give notice where reasonable, but urgent or security work may happen without it.
21.2 Support
Support is provided through the help chat in your dashboard, and by email to no-reply@telesuber.com, and we answer as quickly as we reasonably can. It covers the Service itself, not your business, your tax affairs, your Payment Provider's decisions or Telegram's — though we will help you understand what our records show.
21.3 Beta and early-access features
Anything marked beta, preview or early access is provided as it is. It may be incomplete, may change, may be withdrawn and may not work reliably, so do not depend on one for anything important. To the extent the law allows, we accept no liability arising from a beta feature beyond the liability we cannot exclude under section 24.1.
22. Suspension, termination and your data
22.1 When we may suspend or close a workspace
We may suspend or close a workspace, in whole or in part, where:
- you are in breach of these terms or the Acceptable Use Policy;
- Platform Fees remain unpaid;
- we reasonably believe there is a legal risk, or a risk of harm to the Service, to us, to your subscribers or to others;
- a Payment Provider, Telegram, a court, a regulator or another authority asks us to; or
- we are required to by law.
We will give notice and, where the problem can be put right, a chance to put it right — unless the breach is serious, unlawful or urgent, or notice would defeat the purpose. A failed payment first puts your workspace in the past-due state in section 8.4, and we will normally contact you before going further.
22.2 What suspension does
While a workspace is suspended, its shop pages stop working and sign-in to it is refused; depending on the reason, other parts may stop working too. Suspension does not by itself cancel anything your subscribers are paying you at your Payment Provider — you remain responsible for that, including refunding people who can no longer get what they paid for.
22.3 Ending this agreement
You can end it at any time by cancelling under section 9 and asking us to close your workspace. We can end it by closing your workspace under section 22.1, or on 30 days' notice if we stop offering the Service, in which case we refund the unused part of any Platform Fee paid in advance.
22.4 What happens to your data
After suspension or closure we keep your data, so it can be exported to you, until you ask us to delete it or we decide to — nothing deletes it on its own after a set period. Ask us for either. Before anything is deleted, the renewals still running through your Payment Provider are told to stop there. After deletion, copies may remain in our encrypted backups until those age out after 14 days, and we keep records the law requires, including billing records and the append-only audit log.
22.5 Your subscribers when you leave
Before closing a workspace, tell your subscribers, stop at your Payment Provider the renewals you do not intend to honour, and settle any refunds you owe. Once it is closed its bot stops answering them, and once it is deleted access to your channels is no longer managed either — which they will notice.
22.6 What survives
Ending this agreement does not affect a right or obligation already arisen, including fees already due. Sections 13.5, 14, 16, 20, 22.4, 23, 24, 25, 27, 28 and 32 survive it.
23. Warranties and disclaimers
23.1 What we promise
We promise to provide the Service with reasonable care and skill, and that we have the right to grant you the rights in these terms.
23.2 What we do not promise
Apart from what is written in these terms, the Service is provided as it is and as available. To the fullest extent the law allows we exclude all other terms, conditions and warranties, express or implied, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose and non-infringement. In particular we do not promise that:
- the Service will be uninterrupted, timely, secure or free of errors, or that every defect will be corrected;
- it will meet your requirements or work with any particular third-party service;
- you will make any sales, revenue or profit, or reach any number of subscribers;
- messages will always be delivered, or channel access always granted or removed on time, since that depends on Telegram;
- information from an AI feature will be accurate or complete.
23.3 Not professional advice
Nothing in the Service, our site, our documentation or our support is legal, tax, accounting, financial or investment advice. Get your own advice about your business, your taxes and any licence your activity may need. If you use the Service as a consumer, this section applies only so far as the law allows and your statutory rights are unaffected.
24. Limitation of liability
24.1 What we never exclude
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be excluded or limited by law, including consumers' statutory rights.
24.2 Losses we are not liable for
Subject to section 24.1, we are not liable for any of the following, however caused and whether or not we were told they were possible:
- indirect, special, incidental, punitive or consequential loss;
- loss of profit, revenue, sales, business, contracts, goodwill, reputation, opportunity or anticipated savings;
- loss or corruption of data, beyond restoring our most recent usable backup;
- anything arising from money your subscribers pay you or fail to pay you, including funds not received, held, frozen, reversed, charged back, mispaid or lost at a Payment Provider;
- anything arising from Telegram, including outages, limits, delivery failures, bans on a bot or channel, or changes to its rules or interfaces;
- anything arising from a Payment Provider, an AI provider or another third-party service, or from your contract with them;
- anything arising from your Customer Content, what you sell, messages you send, or your dealings with your subscribers;
- anything arising from an act or omission of a team member, or from someone using your account because a credential was not kept safe;
- anything arising from a beta feature or a part of the Service provided free of charge.
24.3 The cap
Subject to section 24.1, our total liability for all claims taken together is limited to the total Platform Fees you actually paid us in the 12 months before the event giving rise to the claim. That is a single aggregate cap: several claims, or a series of connected events, do not raise it. If you paid us nothing in that period — during a free trial, for example — then to the extent the law allows our liability is limited to nothing beyond section 24.1.
24.4 Time limit, and why this is fair
Unless the law where you live requires longer, a claim must be brought within 12 months of the date you became aware, or ought reasonably to have become aware, of the facts giving rise to it.
Our fees are set on the basis of these limits. We charge for software and take no share of your sales, so the money at stake in your business is many times what you pay us, and you are best placed to judge and insure your own risk. If you use the Service as a consumer, this section applies only so far as the law allows.
25. Your indemnity to us
25.1 What you cover
You will indemnify us and our people against any claim, demand, proceeding, loss, liability, damages, fine and reasonable legal cost arising from:
- your Customer Content, and anything you sell, send or store through the Service;
- your dealings with subscribers, including refunds, chargebacks, complaints and consumer-law claims;
- tax due on your sales, and any claim by a tax authority about them;
- your breach of these terms, the Acceptable Use Policy or the law;
- your breach of Telegram's terms or rules, or of a Payment Provider's or AI provider's terms;
- a claim by a subscriber, team member or anyone else about personal data you put into the Service or asked us to process;
- a claim that your content or business infringes someone's rights.
25.2 How it works
We will tell you promptly about a claim, will not settle it without your consent (not unreasonably withheld), and will give reasonable help at your cost. You will not settle in a way that admits fault on our part or imposes an obligation on us without our consent. We may take over the defence at our own cost, and you will co-operate if we do. If you use the Service as a consumer rather than for a business, this section applies only so far as the law allows.
26. Changes to these terms
We may change these terms — because the Service changes, because the law changes, or to make them clearer.
For a material change we give at least 30 days' notice by email to your account address or in the dashboard, unless a shorter period is needed to comply with the law, to deal with a security risk, or because Telegram or a Payment Provider requires it. Minor changes take effect when published, and the date at the top of this page shows when it last changed.
Continuing to use the Service after a change takes effect means you accept it. If you do not accept it, cancel under section 9 before then. We do not charge you for leaving because of a change you did not accept.
27. Governing law and disputes
27.1 Governing law
This agreement, and any dispute arising out of it or its subject matter, is governed by the laws of the country in which Telesuber is established, without regard to conflict-of-law rules.
27.2 Talk to us first
If something goes wrong, contact us before starting proceedings and give us 30 days to put it right. Most problems are a misunderstanding about how the Service works and are quicker to resolve in writing than in a court. Both of us agree to try in good faith to settle a dispute this way first.
27.3 Courts
If we cannot settle it, the dispute will be decided by the courts of the country in which Telesuber is established, and both of us submit to their jurisdiction. That does not deprive you of the protection of mandatory rules where you live: if you are a consumer, you may bring proceedings in your own country's courts, and its mandatory consumer protections still apply.
27.4 Urgent relief
Either of us may ask any court with jurisdiction for an urgent injunction or other interim relief — to protect confidential information or intellectual property, for example — without first following section 27.2.
28. Notices
We give you notices by email to the address on your account, or in the dashboard, and they count as received on the day sent unless we know delivery failed. Keep your email address current: a notice to an out-of-date address still counts.
You give us notices by email to no-reply@telesuber.com. Notices about a legal claim must be in writing and, where a postal address is given, sent by post as well as by email.
29. Assignment
You may not assign or transfer this agreement, or any right under it, without our written consent, which we will not unreasonably withhold. We may assign or transfer it to a group company, or to a buyer of our business or assets, provided your rights are not reduced; we will tell you if that happens.
30. Events outside our control
Neither of us is responsible for failing to perform because of something outside our reasonable control — an outage or change at Telegram or a Payment Provider, a failure of hosting or internet infrastructure, a cyber attack, a power failure, a natural disaster, war, civil unrest, an epidemic, a strike, or a change in the law or an order of an authority.
The affected obligations are suspended while the event lasts, and each of us will tell the other and act reasonably to limit its effect. If it lasts more than 60 days, either may end this agreement by written notice. This does not excuse an obligation to pay money already due.
31. Export controls and sanctions
You confirm that you are not the subject of a trade sanction or export restriction, are not located in a country or territory subject to comprehensive sanctions, and are not owned or controlled by anyone who is. You must not use the Service, or make it available to anyone, in breach of sanctions or export control law, and you must keep to laws on anti-money-laundering, counter-terrorist financing, bribery and corruption in everything you do through it.
We may suspend or close a workspace immediately, without notice, where we reasonably believe this section has been broken or where we must to comply with the law.
32. General terms
32.1 Entire agreement
These terms, with the documents in section 1.2, are the whole agreement between us about the Service and replace anything said or written before. Neither of us relies on any statement not written in them. This does not limit liability for fraud or fraudulent misrepresentation.
32.2 Severability and waiver
If any part is found unenforceable, it is changed only as far as needed to make it enforceable, or removed if it cannot be, and the rest stays in force. If either of us does not enforce a right straight away, that is not a waiver and does not prevent enforcing it later.
32.3 No partnership, and third parties
Nothing here makes us partners, joint venturers, employer and employee, or agents of one another, and neither may bind the other. Only you and we have rights under this agreement; nobody else may enforce it, except that our people may rely on sections 24 and 25.
32.4 Remedies, headings and language
The remedies here are in addition to any the law gives. Headings do not affect meaning. These terms are written in English, and the English version governs if we publish a translation.
